Subscription in full of the Share Capital Increase through payment in cash with pre-emption right in favour of existing shareholders

LAMDA DEVELOPMENT S.A. (hereinafter the Company) informs the investors that the share capital increase through payment in cash and with pre-emption right in favour of existing shareholders with the purpose of raising capital up to the amount of €150 million, which was resolved by the Extraordinary General Meeting of shareholders dated 29.04.2014 (hereinafter the SCI), was oversubscribed by the shareholders who exercised the pre-emption and the oversubscription right by 1.1977 times through the payment of the overall amount of €179,661,359.25

In particular, 940 shareholders participated in the SCI, who exercised in full the pre-emption right from 27.06.2014 to 11.07.2014 through the payment of the overall amount of €148,914,823.50, which corresponds to 35,038,782 New Shares, i.e. initial subscription of the SCI amounting to 99.28%. In addition, 154 shareholders participated in the SCI, who exercised the over-subscription right through the payment of the overall amount of €30,746,535.75, which corresponds to the demand of 7,234,479 New Shares, which resulted in the oversubscription of the SCI by 1.1977 times.

According to the Company’s announcement dated 02.07.2014, the Company will issue a Prospectus Supplement of the Prospectus dated 19.06.2014, which is subject to the approval of the Board of Directors of the Hellenic Capital Markets Commission. Following the end of the period for the exercise of the withdrawal right of the shareholders who exercised their pre-emption right, as well as their over-subscription right, the subscription percentage of the SCI will be finalized and will be announced to the investors.
